01 Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of WatchRoom (the "Service"), operated by Novelty Technologies, LLC ("WatchRoom", "we", "us", or "our"). By creating an account, joining a room, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy.

If you do not agree to these Terms, you must not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

02 Description of the Service

WatchRoom is a private, invite-only co-watching application that lets you and people you invite watch online videos together with synchronized playback — everyone sees the same moment at the same time. The Service includes features such as:

  • Private rooms that require an invite link or code to join;
  • Synchronized play, pause, and seek controls managed by a host;
  • A shared video queue;
  • Live text chat alongside the video.

WatchRoom embeds third-party video through the official YouTube player. We do not host, store, or own the video content played in rooms. The availability, quality, and continued operation of embedded video depend on third parties and may change without notice.

03 YouTube & Third-Party Content

Videos played in WatchRoom are provided by YouTube and delivered through the embedded YouTube player. WatchRoom does not host, control, or own this content.

About YouTube content

Your use of the embedded player and any video content is also subject to the YouTube Terms of Service. By using WatchRoom you agree to comply with those terms.

WatchRoom is not affiliated with, endorsed by, or sponsored by YouTube or Google. All YouTube and Google trademarks are the property of their respective owners.

WatchRoom may also contain links to other third-party websites or services. We are not responsible for the content, policies, or practices of any third party, and your use of them is at your own risk.

04 Accounts & Eligibility

To use certain features you may need to create an account. You agree to provide accurate information and to keep it up to date. You are responsible for all activity that occurs under your account and for keeping your credentials confidential. Notify us promptly of any unauthorized use.

You must be at least 13 years old to use the Service. By using WatchRoom you represent that you meet this minimum age requirement and that you are able to form a binding contract. If you are under the age of majority in your jurisdiction, you may use the Service only with the involvement of a parent or legal guardian.

05 Rooms, User Content & Conduct

Chat messages you post and video links you add to a queue are "User Content". You retain ownership of your User Content, but you grant WatchRoom a limited license to host, display, and transmit it as needed to operate the Service for you and the people in your room.

Acceptable use

You agree not to use the Service to:

  • Post or share content that is illegal, infringing, defamatory, harassing, hateful, or sexually exploitative;
  • Queue or distribute content you do not have the right to share, or that violates a third party's intellectual property or privacy rights;
  • Circumvent access controls, attempt to access rooms you were not invited to, or disrupt synchronized playback for others;
  • Upload malware, spam, or attempt to overload, probe, or reverse-engineer the Service;
  • Impersonate any person or misrepresent your affiliation.

Hosts & moderators

The person who creates a room is its host and may have moderation controls, including managing playback, the queue, and participants. Hosts and moderators are responsible for the rooms they run. We may remove content or restrict access that we reasonably believe violates these Terms.

06 Intellectual Property

The WatchRoom name, logo, wordmark, interface, and software are owned by Novelty Technologies, LLC and protected by applicable intellectual property laws. Except for the limited right to use the Service as permitted by these Terms, no rights are granted to you. You may not copy, modify, distribute, or create derivative works of the Service or our branding without our prior written permission.

This section does not affect the ownership of video content (which belongs to its respective owners) or of your User Content (which belongs to you).

07 Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, error-free, or that playback will remain perfectly synchronized at all times. Because the Service relies on third-party video players and networks, we cannot guarantee the availability of any particular video or feature.

08 Limitation of Liability

To the maximum extent permitted by law, Novelty Technologies, LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of (or inability to use) the Service.

To the extent liability cannot be excluded, our total aggregate liability for any claim relating to the Service will not exceed the greater of the amount you paid us (if any) in the twelve months before the claim, or USD 100.

09 Indemnification

You agree to indemnify and hold harmless Novelty Technologies, LLC and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right — including the YouTube Terms of Service.

10 Termination

You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms, to protect the Service or other users, or as required by law. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive termination.

11 Changes to the Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. You agree that any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction.
